mutual covenants set forth in this Agreement, Client and Company hereby agree as follows: SERVICES Company will provide Client with Search Engine Optimization (“SEO”) Services and Website Design Services as described in the Proposal (the “Services”) The Services are intended to provide the Client with preferential positioning in selected search engines and report results on an ongoing and timely basis The SEO Services include but are not limited to: Researching keywords and phrases to select appropriate, relevant search terms Obtaining “back links” from other related websites and directories to generate link popularity and traffic Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary Recommending, as required, additional web pages, web sites, or content for the purpose of “catching” keyword searches Analysis and recommendations on optimal website structure, navigation, code, etc for best SEO purposes Creating positional reports showing rankings in the major search engines TERM AND TERMINATION The initial term of this Agreement is months from the Date Signed Following the initial term the agreement will continue on a month-to-month term until terminated This Agreement may be terminated by Company (i) immediately if Client fails to pay any fees hereunder; or (ii) if Client fails to cooperate with Company or hinders Company’s ability to provide the SEO Services hereunder (iii) With 30 days written notice after the initial term is fulfilled FEES The fee for the SEO Services is indicated in the Payment Terms First Month Charges are due immediately upon signature of Agreement Following monthly charges, as indicated, are auto-billed on a 30 day billing cycle as per the signature date of this Agreement Fees are in USD and are to be paid monthly All fees and expenses are payable at the time of signature and are reoccurring on a monthly schedule Fees for services are non-refundable Any amount not paid pursuant to the terms of this Agreement shall accrue interest at the rate of one percent (1%) per month (twelve percent (12%) per annum) on the remaining amount required to be paid, such interest to accrue on a daily basis from the payable date until the remaining amount is paid Company has the right to remove any SEO Services under Company’s control until payment is paid in full CLIENT RESPONSIBILITIES Client agrees to cooperate with Company and provide the access, resources, materials, personnel, information, and consents that Company may require to perform the SEO services and comply with its obligations related to the SEO Services Client hereby agrees to provide Company with the following: Administrative/backend access to the website for analysis of content and structure Authorization to use its pictures, logos, trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by Company for search engine optimization purposes Access to hardware, software, services, hosting, ftp or other resources deemed necessary by Company to fulfill its obligations under this Agreement If Client will not be granting website access, the Company keyword, phrase or search term Client acknowledges that SEO and submissions to search engines and directories can take an indefinite amount of time for inclusion and that listings may be dropped for no apparent or predictable reason Client acknowledges that any of the search engines, directories or other resources may block, prevent or otherwise stop accepting submissions for an indefinite period of time Company reserves the exclusive right to approve or disapprove any design strategies, existing code or other techniques that are considered by Company to be detrimental to SEO and the execution of the SEO Services Company is not responsible for changes made to Client’s website(s) by other parties that adversely affect the search engine or directory rankings of Client’s website(s) The Client will be charged an additional fee for re-constructing content, based on the hourly rate of $45 per hour ENTIRE AGREEMENT This Agreement contains the entire Agreement between the parties relating to the subject matter hereof and supersedes all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto GOVERNING LAW This Agreement shall be governed in accordance with the laws of the State of Florida INDEMNIFICATION Client warrants that everything it provides Company to employ in SEO is legally owned or licensed to Client Client agrees to indemnify, defend and hold Company harmless from and against any damages, liabilities, losses, taxes, fines, penalties, costs, and expenses (including, without limitation, reasonable fees of counsel) of any kind or nature whatsoever (whether or not arising out of third party claims and including all amounts paid in investigation, defense or settlement of the foregoing) which may be sustained or suffered by any of them arising out of or based upon: (a) any matter related to Client’s website or arising out of the operation of the SEO Services (b) any failure by Client to provide necessary items listed under the Client Acknowledgements section of this Agreement WAIVER No waiver by either party of any default shall be deemed as a waiver of prior or subsequent default of the same or other provisions of this Agreement INDEPENDENT CONTRACTOR Company, in rendering performance under this Agreement, shall be deemed an independent contractor and nothing contained herein shall constitute this arrangement to be employment or a partnership ASSIGNABILITY; AGREEMENT BINDING ON SUCCESSORS Client has no right to assign, sell, modify or otherwise alter this Agreement, except upon the express written advance approval of Company, which consent can be withheld for any reason The
