Co Ltd Binh Xuyen District Vinh Phuc Province VN (Company Name, City and State [or Country if not in U S A.] Under this Agreement, as of 2017-06-23 , Subscriber/Party Site Company designates a Gatekeeper for UL LLC's portal MyHome and other electronic access sites ["UL LLC Electronic Access Sites"] Subscriber/Party Site Company acknowledges and agrees that the Gatekeeper shall be assigned for an indefinite period of time and has the responsibility of authorizing, denying or limiting access to Subscriber/Party Site Company's and its Affiliate(s) (as defined below) Sensitive Documents and Data (as defined below) through UL LLC Electronic Access Sites to other individuals and third parties within or outside of the Subscriber/Party Site Company ["Additional Users"] Affiliate(s) is defined as any legal entity throughout the world in which Subscriber/Party Site Company owns or controls fifty percent (50%) or more of the outstanding equity or capital interests for those companies listed in the Subscriber/Party Site Companies and Affiliates section of this Agreement, which may be amended by the written agreement of the parties Sensitive Documents and Data may include, without limitation, all files, evaluation and field inspection reports, design specifications, invoices, project status data, correspondence, and other general data, etc Subscriber/Party Site Company acknowledges that Gatekeeper and Additional Users as authorized by the Gatekeeper must accept the terms and conditions displayed on the applicable UL LLC Electronic Access Sites before access will be granted The Gatekeeper may authorize or deny Additional Users by responding to the automated email request sent from UL LLC to the Gatekeeper email address on record Gatekeeper will utilize the Gatekeeper Center tools to process requests for access by Additional Users Subscriber/Party Site Company acknowledges that it will be the sole responsibility of the Gatekeeper and Subscriber/Party Site Company to authorize, deny or limit access for Additional Users Subscriber/Party Site Company acknowledges that it is solely responsible for promptly informing UL LLC via the MyHome portal or in writing to UL LLC at the address above, if it no longer wants to allow access by the Gatekeeper to its Sensitive Documents and Data through UL LLC's Electronic Access Sites or wishes to make a change of Gatekeeper Notice under this Agreement must be made by hand delivery, courier service, mail, facsimile, or email transmission to UL LLC Notice delivered by facsimile or courier shall be effective upon confirmed receipt, and by mail or courier upon the earlier of (i) receipt or (ii) five (5) business days after the notice is deposited in the mail UL LLC reserves the right to terminate this Agreement with or without cause at any time If UL LLC terminates this Agreement without cause, UL LLC will remove any access to your Customer Extranet account(s) and the Services thirty (30) days after date of notice to you This Agreement shall be governed by the laws of the State of Illinois, USA, without reference to any applicable choice of law principles Any action arising under or related to the Agreement shall be filed in the federal or state court having jurisdiction in Cook County, Illinois, USA Subscriber/Party Site Company consents to the exercise of personal jurisdiction of that
