consultancy services, capacity assessment, investment promotion organization, facilitate negotiation in relation to introducing potential investor(s)to ABC Company in relation to investing, building and operating Project on eco-economic, high-tech organic agricultural circulation for which ABC Company is an investor based on the terms and conditions set out in this Agreement Công ty ABC hợp tác Dự án kinh tế sinh thái, tuần hồn nơng nghiệp hữu cơng nghệ cao mà Công ty ABC chủ đầu tư dựa điều khoản điều kiện nêu Thỏa thuận B The Consultant is willing to provide services to ABC Company in relation to the Project in accordance with the terms of this Agreement Nhà tư vấn sẵn sàng cung cấp dịch vụ cho Công ty ABC liên quan đến Dự án theo điều khoản Thỏa thuận IT IS AGREED: CÁC BÊN ĐỒNG Ý: 1.1 DEFINITIONS AND INTERPRETATION ĐỊNH NGHĨA VÀ GIẢI THÍCH In addition, in this Agreement: Ngồi ra, Thỏa thuận này: “Agreement” means this Agreement including the accompanying Schedules “Thỏa thuận” Thỏa thuận bao gồm Phụ lục kèm theo “Associated Person” means in relation to any entity, a person who (by reference to all the relevant circumstances) performs services for or on behalf of that entity in any 1.2 (a) capacity and including, without limitation, employees, agents, subsidiaries, representatives and subcontractors “Người Môi giới” mối quan hệ với thực thể nào, người (bằng cách tham than a day in Saturday or Sunday in which banks are opened for normal business in Vietnam or Singapore “Ngày Làm việc” ngày Thứ Bảy Chủ Nhật mà ngân hàng mở cửa hoạt động bình thường Việt Nam “Commencement Date” means [ ], notwithstanding the date of execution of this Agreement “Ngày Bắt đầu” [ ], ngày ký Thỏa thuận “Fee” means the Fee to be paid to the Consultant by ABC Company in consideration of the Consultant performing the Services in accordance with this Agreement, calculated and payable in accordance with Schedule “Phí” Phí mà Cơng ty ABC phải trả cho Nhà tư vấn Nhà tư vấn thực Dịch vụ theo Thỏa thuận này, tính tốn theo Phụ lục “Government Agency” means any government or governmental, semi-governmental, administrative, fiscal or judicial body, department, commission, authority, bureau, tribunal, agency or entity in any part of the world “Cơ quan Chính phủ” phủ quan phủ, bán phủ, hành chính, tài tư pháp, bộ, ủy ban, quan, văn phòng, tòa án, tổ chức đơn vị nơi giới “Interest Rate” means the interest that shall accrue and become payable by ABC Company to the Consultant on any late payment at a rate of 24.0% per annum calculated on a daily basis from the due date of the relevant payment until the date of payment “Lãi suất” tiền lãi mà Công ty ABC phải trả cho Nhà tư vấn khoản toán chậm mức lãi suất 24,0% năm tính hàng ngày kể từ ngày đến hạn tốn liên quan ngày toán “Singapore Law” means the laws in force in Singapore from time to time, including statute, legislation, subsidiary legislation and guidelines, common law and precedent “Luật pháp Singapore” luật có hiệu lực Singapore vào thời điểm, bao gồm quy chế, luật pháp, văn luật hướng dẫn, thông luật tiền lệ “VietnamLaw” means the laws in force in Vietnam from time to time, including statute, legislation, subsidiary legislation and legal case of Vietnam “Luật pháp Việt Nam” luật có hiệu lực Việt Nam vào thời điểm, bao gồm luật, pháp luật, văn luật án lệ Việt Nam “Works” mean any and all materials, hard and electronic documents and data used, prepared or produced by the Consultant in providing the Services “Công việc” tất tài liệu, hồ sơ liệu cứng điện tử Nhà tư vấn sử dụng, chuẩn bị tạo để cung cấp Dịch vụ Unless the context otherwise requires or unless as expressly set out in this Agreement to the contrary: Trừ bối cảnh yêu cầu khác trừ quy định rõ ràng Thỏa thuận ngược this Agreement The Consultant shall only take instructions from ABC Company’s authorised representatives Công ty ABC định (những) người có tên Phụ lục làm người đại diện ủy quyền có quyền thay mặt its behalf in all matters under this Agreement (Những) người có tên Phụ lục (các) đại diện ủy quyền Nhà tư vấn có quyền thay mặt Nhà tư vấn vấn đề theo Thỏa thuận Each party, by written notice to the other, may change its representative at any time, however each party must ensure that at all times during the Project it is represented in accordance with this clause Mỗi bên, văn thông báo cho bên appoints the Consultant, and the Consultant hereby accepts its appointment to provide the services for the Project set out in Schedule 1on the terms of this Agreement (the “Services”) Công ty ABC theo the date of execution of this Agreement, the terms of this Agreement will apply to any Services carried out by the Consultant for ABC Company in relation to the Project Nếu bắt đầu cung cấp Dịch vụ trước ngày ký Thỏa thuận này, điều khoản Thỏa thuận áp dụng cho Dịch vụ Nhà tư vấn thực cho Công ty ABC liên quan đến Dự án PROVISION OF SERVICES CUNG CẤP DỊCH VỤ During the engagement, the Consultant will provide the Services with reasonable care, accurate, legal, honest and skill and in accordance with this Agreement Trong trình làm việc, Nhà tư vấn cung cấp Dịch vụ cách cẩn thận, xác, pháp luật, trung thực có kỹ phù hợp với Thỏa thuận The Services and Works are provided solely for ABC Company for the purpose in this Agreement Các Dịch vụ Công việc cung cấp cho Công ty ABC với mục đích Thỏa thuận The Consultant will as soon as reasonably practicable notify ABC Company, if for any reasons at any time during the engagement, it is unable to provide the Services Nhà tư vấn thông báo cho Cơng ty ABC, lý thời điểm q trình làm việc, Nhà tư vấn khơng thể cung cấp Dịch vụ VARIATION OF THE SERVICES THAY ĐỔI DỊCH VỤ The Consultant shall only carry out any variation to the Services upon receipt of a written instruction from ABC Company, which instruction shall include the agreed adjustment to be made to the Fee Nhà tư vấn thực thay đổi Dịch vụ nhận hướng dẫn văn từ Công ty ABC, hướng dẫn bao gồm điều chỉnh thỏa thuận Phí FEES AND PAYMENT PHÍ VÀ THANH TỐN In consideration of the Consultant carrying out the Services in accordance with this Agreement, ABC Company shall pay the Consultant the Fee Để đáp lại việc Nhà tư vấn thực Dịch vụ theo Thỏa thuận này, Cơng ty ABC trả Phí cho Nhà tư vấn The Consultant may invoice the Client and claim payment of the Fee in accordance with Schedule However, the fees ABC Company is responsible for paying the Consultant within 15 days from the date ABC Company receives the investor's money Nhà tư vấn lập hóa đơn cho Cơng ty ABC u cầu tốn Phí theo Phụ lục Tuy nhiên khoản phí Cơng ty ABC có trách nhiệm tốn cho Nhà tư vấn thời gian chậm 15 ngày kể từ ngày Công ty ABC nhận tiền nhà đầu tư 7.1 7.2 7.3 8.1 EXPENSES CHI PHÍ The Consultant will be reimbursed for out-of-pocket expenses reasonably incurred in the provision of the Services, subject to the production of appropriate receipts Out-ofpocket expenses include travel and travel-related expenses, accommodation, transport, mobile phone and related medical expenses etc For avoidance of doubt, any related medical expenses incurred by the Consultant prior or after travel due to covid 19 requirements imposed by either Singapore or Vietnam, e.g medical tests and quarantine accommodation and transport etc will be reimbursed by ABC Company Nhà tư vấn hoàn trả chi phí tự trả phát sinh cách hợp lý việc cung cấp Dịch vụ, tùy thuộc vào việc xuất trình biên lai thích hợp Chi phí tự trả bao gồm chi phí liên quan đến lại lại, ăn ở, lại, điện thoại di động chi phí y tế liên quan, v.v Để tránh nghi ngờ, chi phí y tế liên quan mà Nhà tư vấn phải chịu trước sau du lịch 19 yêu cầu áp đặt Singapore Việt Nam, ví dụ: Kiểm tra y tế kiểm dịch chỗ vận chuyển, v.v Cơng ty ABC hồn trả The Consultant is to obtain the approval of ABC Company prior to incurring flight and accommodation costs except in the case of compliance with covid 19 requirements imposed by either Singapore or Vietnam Nhà tư vấn phải Công ty ABC chấp thuận trước phát sinh chi phí bay ăn ngoại trừ trường hợp tuân thủ yêu cầu covid 19 Singapore Việt Nam áp đặt Fees specified in clauses 7.1 and 7.2 will be paid by ABC Company based on actual invoices and receipts presented by the Consultant, but not more than 0.1% of the capital commitment of the investor (s) referred by the Consultant to ABC Company and will be paid only if there is a successful transaction between ABC Company and the investor Các khoản phí nêu khoản 7.1 7.2 Cơng ty ABC tốn dựa hóa đơn biên lai thực tế Nhà tư vấn xuất trình, khơng q 0,1% cam kết vốn (các) nhà đầu tư Nhà tư vấn giới thiệu cho Công ty ABC tốn có giao dịch thành cơng Cơng ty ABC chủ đầu tư LIMITATION OF LIABILITY GIỚI HẠN TRÁCH NHIỆM In connection with the Services, the Consultant is responsible for all legal actions, consulting, risks of damage caused by failure, improper performance, or breach of the committed obligations specified under this Agreement The consultant is only responsible to compensate for his intentional fault, counterfeiting that leads to the damage The Consultant is excluded from all liability due to objective factors, arising from ABC Company or the Investor Liên quan đến Dịch vụ, Nhà tư vấn chịu trách nhiệm với toàn hành vi pháp lý, tư vấn, rủi ro thiệt hại việc không thực hiện, thực không đúng, vi phạm nghĩa vụ cam kết quy định theo Thỏa thuận Nhà tư vấn phải chịu trách nhiệm bồi thường hành vi có lỗi có ý, giả mạo dẫn đến việc gây thiệt hại Nhà tư (a) (b) 8.2 8.3 8.4 9.1 9.2 vấn loại trừ chịu trách nhiệm yếu tố khách quan, phát sinh từ việc Công ty ABC Nhà đầu tư gây Neither party shall be liable to the other under or in connection with the Agreement for any: Không bên phải chịu trách nhiệm với bên theo liên quan đến Thỏa thuận mọi: loss of profit, revenue, savings, business opportunity and/or goodwill; or tổn thất lợi nhuận, doanh thu, tiết kiệm, hội kinh doanh và/hoặc lợi thương mại; Nothing in this Agreement shall exclude or in any way limit either party’s liability for fraud, wilful misconduct, death or personal injury caused by its negligence or any other liability to the extent such liability may not be excluded or limited as a matter of Singapore Law Không quy định Thỏa thuận loại trừ cách giới hạn trách nhiệm hai bên hành vi gian lận, cố ý làm trái, tử vong thương tích cá nhân sơ suất bên trách nhiệm khác phạm vi trách nhiệm khơng bị loại trừ giới hạn theo Luật pháp Singapore Neither party will be responsible, liable, or held to be in breach of the Agreement for any failure to perform its obligations under the Agreement or otherwise, to the extent that the failure is caused bythe other party failing to comply with its obligations under the Agreement, or by the negligence or misconduct khơng tuân thủ nghĩa vụ theo Thỏa thuận, sơ suất hành vi sai trái bên lại nhân viên bên lại Each party must take reasonable steps to mitigate any loss or damage, cost or expense it may suffer or incur gánh chịu phát sinh từ điều bên cịn lại làm khơng làm theo liên quan đến Thỏa thuận OBLIGATIONS OF ABC COMPANY NGHĨA VỤ CỦA CÔNG TY ABC ABC Company shall provide the Consultant such access to its information, records and other materials of the Project on a timely manner as the Consultant may reasonably require to enable the Consultant to provide the Services Content of information, documents tư vấn cung cấp Dịch vụ Nội dung thơng tin, tài liệu quyền truy cập bên thống văn ABC Company acknowledges that the Consultant is not responsible for the accuracy and completeness of any information provided by ABC Company or others to the Consultant in providing the Services 9.3 10 10.1 (a) (b) (c) (d) 10.2 11 11.1 Công ty ABC xác nhận Nhà tư vấn không chịu trách nhiệm tính xác đầy đủ thơng tin Công ty ABC người khác cung cấp cho Nhà tư vấn cung cấp Dịch vụ ABC Company agrees that it is fully responsible for the preparation of all documents and analysis requested by the investor(s) are part of the investor’s due diligence process, e.g information and analysis relating to financials, tax, legal, accounting, engineering, construction, technical and operations etc Công ty ABC đồng ý hoàn toàn chịu trách nhiệm việc chuẩn bị tất tài liệu phân tích (các) nhà đầu tư yêu cầu phần quy trình thẩm định nhà đầu tư, ví dụ: thơng tin phân tích liên quan đến tài chính, thuế, pháp lý, kế toán, thiết kế, xây dựng, kỹ thuật hoạt động, v.v ABC COMPANY’S REPRESENTATION AND WARRANTIES CAM ĐOAN VÀ BẢO ĐẢM CỦA CÔNG TY ABC ABC Company represents and warrants to the Consultant that: Công ty ABC cam đoan đảm bảo với Nhà tư vấn rằng: it is the legal owner of the Land and have secured the appropriate licenses required for the Project; Công ty ABC chủ sở hữu Đất hợp pháp có giấy phép thích hợp cần thiết cho Dự án; information provided by ABC Company to the Consultant and investor(s) is true and accurate in all material aspects; thông tin Công ty ABC cung cấp cho Nhà tư vấn (các) nhà đầu tư trung thực xác khía cạnh trọng yếu; all forecasts provided to the Consultant and investor(s) are made based on appropriate data and reasonable assumptions; and tất dự báo cung cấp cho Nhà tư vấn (các) nhà đầu tư đưa dựa liệu thích hợp giả định hợp lý; it will immediately inform the Consultant and investor(s) in writing of any material changes to ABC Company’s representations and warranties Công ty ABC thông báo cho Nhà tư vấn (các) nhà đầu tư văn thay đổi quan trọng cam đoan bảo đảm Công ty ABC ABC Company acknowledges that the Consultant will be relying on information provided by ABC Company without the responsibility to carry out any verifications Công ty ABC xác nhận Nhà tư vấn dựa vào thông tin Công ty ABC cung cấp mà trách nhiệm thực xác minh INDEMNITY BỒI THƯỜNG ABC Company represents to the Consultant that it will make its own independent decisions to enter into any partnerships with investor(s) introduced by the Consultant and ABC Company is not relying on any communication (written or oral) from the Consultant as investment advice or as a recommendation to enter into any partnership with the investor(s) Công ty ABC cam đoan với Nhà tư vấn đưa định độc lập riêng để tham gia vào mối quan hệ đối tác với (các) nhà đầu tư Nhà tư vấn giới thiệu Công ty ABC không dựa vào trao đổi (bằng văn miệng) từ Nhà tư vấn lời khuyên đầu tư khuyến nghị để tham gia vào quan hệ đối tác với (các) nhà đầu tư 11.2 Investors are considered valid when the Consultant provides the Investor's valid documents: Letter of Interest, Profileof the investor and certified by the investor authority of the investor Or any document proving the relationship between the Investor and the Consultant about their interest in and wanting to invest in the project of ABC Company 11.3 Các nhà đầu tư coi hợp lệ Nhà tư vấn cung cấp tài liệu hợp lệ nhà đầu tư: Thư quan tâm, hồ sơ lựccủa nhà đầu tư có xác nhận người có thẩm quyền nhà đầu tư Hoặc tài liệu chứng minh liên hệ Nhà đầu tư Nhà tư vấn việc họ quan tâm muốn đầu tư vào dự án Công ty ABC 12 12.1 12.2 12.3 12.4 12.5 12.6 12.7 CONFIDENTIALITY BẢO MẬT The Consultant shall treat as confidential and shall not for a period of years from the date of this Agreement disclose or permit to be disclosed to any person or otherwise make use of or permit to be made use of any information relating to ABC Company’s structure, business or finances or any information relating to any part of the Project whatsoever (the “Confidential Information”), except as provided for below Nhà tư vấn giữ bí mật khơng tiết lộ cho phép tiết lộ thời gian quy định The Consultant may disclose any Confidential Information: Nhà tư vấn tiết lộ Thơng tin Bí mật nào: which is already in the possession of the Consultant prior to receipt from the Client and the Consultant can show that such information was in possession of the Consultant prior to the date of disclosure hereunder; and which was not acquired directly or indirectly from the Client; thuộc quyền sở hữu Nhà tư vấn trước nhận từ Khách hàng Nhà tư vấn cho thấy thơng tin thuộc quyền sở hữu Nhà tư vấn trước ngày tiết lộ đây; không mua trực tiếp gián tiếp từ Khách hàng; which becomes generally available to the public other than as a result of a breach of this Agreement; phổ biến rộng rãi cho cơng chúng ngồi việc vi phạm Thỏa thuận này; which becomes available to the Consultant on a non-confidential basis from a source other than the Client; or cung cấp cho Nhà tư vấn sở không bảo mật từ nguồn Khách hàng; which the Consultant is required to disclose by the requirements of the relevant regulatory authorities (including any relevant stock exchange regulator), law or a court or administrative agency of competent jurisdiction; or mà Nhà tư vấn buộc phải tiết lộ theo yêu cầu quan quản lý có liên quan (bao gồm quan quản lý liên quan đến sàn giao dịch chứng khốn), luật pháp tịa án quan hành có thẩm quyền; which is independently developed by employees, consultants, or agents "Default Notice") terminate this Agreement if the other party: Công ty ABC Nhà tư vấn thông báo văn ("Thông báo Vi phạm") chấm dứt Thỏa thuận bên lại: is in breach of any of the terms of this Agreement which, in the case of a breach capable of remedy, shall not have been remedied by the defaulting party within 30 days of receipt by the non-defaulting party of a Default Notice specifying the breach and requiring its remedy; vi phạm điều khoản Thỏa thuận này, trường hợp vi phạm có khả khắc phục, bên vi phạm khơng khắc phục vịng 30 ngày kể từ ngày bên khơng vi phạm nhận Thông báo Vi phạm xác định rõ vi phạm yêu cầu khắc phục; commits an act of fraud or dishonesty; or thực hành vi gian lận không trung thực; being a corporation becomes insolvent within the meaning of the Companies
